1. Acceptance of terms
By accessing or using AICAN, Optiwise, the website, mobile apps, APIs, connected devices, demos, or related services, you agree to these terms. If you are using the services for a company, you confirm that you have authority to bind that company. If a signed agreement, proposal, order form, invoice, or statement of work applies, that document will control where it conflicts with these general terms.
2. The services
Optiwise is an AI Native Operating System for manufacturing teams. It can include modules for sales, CRM, purchase, inventory, production, shopfloor, quality, reports, task management, IoT, mobile workflows, AI agents, integrations, dashboards, alerts, and related services.
3. Accounts and access
- Customers must provide accurate account, company, and billing information.
- Users must keep login credentials confidential and must not share accounts.
- Customer administrators are responsible for user invitations, permissions, access levels, and removal of users who no longer need access.
- AICAN may suspend access if we reasonably believe there is unauthorized use, security risk, non-payment, legal risk, or violation of these terms.
4. Customer data
Customer data includes business, operational, factory, user, machine, document, workflow, and integration data submitted to or generated within Optiwise for a customer workspace. Customers retain ownership of their customer data. AICAN may process customer data to provide, secure, support, troubleshoot, improve, and operate the services, and as otherwise described in the Privacy Policy.
5. User responsibilities
- Use the services only for lawful business purposes.
- Maintain accurate data, approval rules, workflows, tax settings, inventory records, and user permissions.
- Review outputs, reports, recommendations, documents, alerts, and AI-assisted actions before using them for business decisions.
- Comply with applicable laws, labour rules, tax obligations, export rules, safety requirements, privacy requirements, and customer-specific compliance duties.
- Ensure connected devices, shopfloor networks, scanners, and IoT hardware are installed and maintained safely by qualified personnel.
6. AI-assisted outputs
Optiwise may provide AI-assisted recommendations, summaries, forecasts, anomaly alerts, draft documents, routing suggestions, and natural-language answers. These outputs are generated from available data and may be incomplete, inaccurate, delayed, or dependent on user configuration and data quality. Customers remain responsible for final review, approvals, safety decisions, financial decisions, supplier decisions, production decisions, and compliance.
7. IoT and device data
IoT data depends on device availability, sensor configuration, network connectivity, power supply, installation quality, machine conditions, and third-party infrastructure. AICAN may provide alerts and dashboards, but customers remain responsible for machine safety, operator safety, preventive maintenance, calibration, plant procedures, and emergency response.
8. Fees, billing, and taxes
Paid services may be billed through subscriptions, implementation fees, hardware fees, support fees, usage-based charges, or custom commercial terms. Fees, payment dates, taxes, renewal terms, cancellation terms, and scope are defined in the applicable proposal, order form, invoice, or signed agreement. Unless stated otherwise, fees are exclusive of applicable taxes.
9. Acceptable use
- Do not attempt to disrupt, overload, reverse engineer, scrape, or gain unauthorized access to the services.
- Do not upload malware, illegal content, or content that infringes another party's rights.
- Do not use the services to build a competing product by copying platform design, workflows, code, or proprietary materials.
- Do not bypass security controls, usage limits, payment requirements, or access restrictions.
10. Integrations and third-party services
Optiwise may connect with third-party services such as accounting, ERP, messaging, cloud storage, analytics, payment, IoT, or communication tools. Customer use of third-party services is governed by the terms and privacy policies of those third parties. AICAN is not responsible for third-party outages, policy changes, data errors, or unauthorized changes outside our control.
11. Intellectual property
AICAN owns the Optiwise platform, software, designs, workflows, documentation, website content, trademarks, AI agents, product names, and related intellectual property, except for customer data and third-party materials. Customers receive a limited, non-exclusive, non-transferable right to use the services during the applicable subscription or agreement term.
12. Confidentiality
Each party may receive confidential business, technical, financial, operational, or product information from the other. The receiving party must use reasonable care to protect confidential information and use it only for the purpose of providing or using the services, unless disclosure is required by law.
13. Availability and support
We work to keep the services reliable and available, but uninterrupted access is not guaranteed. Maintenance, upgrades, outages, connectivity issues, third-party failures, hardware issues, and events beyond our control may affect availability. Support scope and response expectations may be described in the applicable plan, proposal, or agreement.
14. Termination
Either party may terminate services according to the applicable commercial agreement. AICAN may suspend or terminate access for material breach, non-payment, security risk, misuse, or legal requirement. After termination, customer access may stop, and data export or deletion will be handled according to the applicable agreement, privacy policy, technical limits, and legal retention requirements.
15. Disclaimers and limitation of liability
The services are provided on a business software basis and are not a substitute for professional, legal, tax, financial, engineering, safety, or compliance advice. To the maximum extent permitted by law, AICAN will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, production loss, data loss, business interruption, or factory downtime arising from use of the services.
16. Governing law
These terms are governed by the laws of India. Disputes will be handled according to the dispute resolution and jurisdiction terms in the applicable signed agreement, or otherwise by courts of competent jurisdiction in India.
